GrowTribe Creator Service Agreement
Agreement form — not a signed agreement. Complete the customer Order and applicable schedules, verify the service commitments, and obtain both parties' signatures before execution. Viewing this form does not create a customer agreement.
This agreement is between Fireside Solutions LLC, a Delaware limited liability company based in Saint Louis, Missouri, with business mailing address 952 Patience Drive, Florissant, Missouri 63034 ("Fireside"), and the customer identified in the signed Order ("Customer"). GrowTribe is Fireside's product name. The agreement takes effect on the date specified in that Order.
1. Services and orders
Fireside provides the managed launch and platform operations described in an Order signed by authorized representatives of both parties. Each Order identifies the tenant, services, features, deliverables, dependencies, acceptance criteria, fees, term and support commitments. Additional work requires written agreement.
Customer must be based in the US and have a member base. This does not restrict all members to the US or require every community to be adult-only. Customer must disclose intended member countries, age groups and business category so the parties can approve the appropriate service scope and safeguards.
An inquiry, demonstration, account creation or payment alone does not authorize launch. Admission, category review, member policies, provider eligibility and technical readiness remain separate requirements. There is no promise of revenue, audience growth, payment-provider approval or a launch date except a specific obligation expressly stated in the Order.
2. Responsibilities and member protection
Fireside will perform the agreed services with reasonable care, maintain the safeguards agreed in the processing schedule and provide the agreed support. Customer will supply accurate information, authorized materials, required access and timely decisions; secure administrator accounts; and identify authorized instruction-givers. Each party remains responsible for its own legal obligations.
Customer selects and approves its member terms, privacy notice, community rules, commerce terms and age/location policy. Fireside's reusable templates are not legal approval. Customer must not change to a materially different audience, content category or data use without review of the affected scope and safeguards.
Communities may use different age restrictions, including 21+, or admit minors where approved. Before admitting minors or expanding countries, the parties must document the actual eligibility, notices, necessary consent/guardian arrangements and operational controls. Additional conditions requested by Customer require an agreed implementation and validation; a request does not make the condition an existing feature.
Neither party may use the service for unlawful activity, fraud, exploitation, non-consensual sexual material, harassment, rights infringement, malware or unauthorized access. Customer must hold the rights and permissions needed for its materials and instructions. Enhanced-risk uses require separate acceptance.
3. Fees, renewal and member commerce
The Order specifies fees, currency, taxes, included usage, invoicing, payment dates and any approved overages. No unlisted fee, trial conversion or automatic renewal is authorized by this agreement. Recurring services renew only as expressly specified in the Order, with the applicable notice and cancellation process stated there.
Customer must pay undisputed amounts when due and promptly identify any disputed invoice and reasons. The parties will work in good faith to resolve disputes. Changes to fees apply only as agreed or under an express Order provision with required advance notice.
For every paid member offering, the commerce schedule identifies the seller or merchant of record, payment-account owner, funds flow, fees, taxes, renewal, cancellation, refund and chargeback responsibilities. Customer's paid-member terms must match checkout and actual operations. Free access does not authorize future charges. Provider acceptance and restrictions apply independently of this agreement; connecting an account is not underwriting approval.
4. Ownership and permitted use
Customer retains its rights in its brand and supplied content. Fireside retains its pre-existing software, shared platform and methods. The Order specifies ownership or licenses for custom deliverables and third-party materials.
Customer grants Fireside a non-exclusive license to host, reproduce, transmit and process its materials only as needed to provide, support and secure the agreed services or comply with law. This license is not permission to publish Customer's private materials for marketing or to train a general-purpose model. Public use of Customer's name or logo as an endorsement requires separate consent.
Creator ownership of brand, content and business relationships does not transfer ownership of people, their privacy rights or the shared GrowTribe software. Authorized exports and exit assistance are provided as stated in the Order, subject to legitimate privacy/security restrictions and the processing agreement.
5. Confidentiality and personal information
Each party protects the other's confidential business information using at least reasonable care, limits access to people and providers with a need to know and appropriate duties, and uses it only for this engagement. These duties do not cover information independently developed, lawfully public or rightfully received without a confidentiality restriction. For legally compelled disclosure, the receiving party will, where lawful, give notice and limit disclosure to what is required. Confidentiality survives while the information remains confidential.
The parties will complete and sign the Data Processing Addendum and its schedules before processing member information under this agreement. That addendum governs documented instructions, subprocessors, security, incidents, requests, transfers and data return/deletion. Customer instructions do not remove Fireside's independent legal duties.
External AI, recording and new provider processing must be within the approved scope and disclosed as required. Customer's general acceptance of GrowTribe does not authorize unrestricted disclosure of member data to external models.
6. Support, suspension and termination
Support and incident contacts, hours and response targets appear in the Order. Customer may raise support concerns or request review of a suspension at dorian@fireside.solutions. No uptime guarantee is implied beyond a signed commitment.
Fireside may proportionately restrict affected services for material breach, serious security or safety risks, unlawful activity or binding provider/legal requirements. Where reasonably possible and lawful, Fireside will explain the reason and allow a remedy before restriction. Urgent risks may require immediate action. The parties will work toward restoration when the reason is resolved.
Either party may terminate for a material breach not cured within 30 days after written notice, or sooner where cure is impossible and continued performance would create a serious legal or safety risk. Other termination rights and notice periods appear in the Order. Ending a fixed-term Order does not create renewal unless the Order expressly provides it.
On termination, Customer pays for agreed services already performed; Fireside returns prepaid fees for services it will not provide, less properly incurred, noncancelable costs expressly disclosed in the Order. This does not override mandatory refund rights. The parties follow the agreed export/exit schedule and DPA return/deletion process. Retention exceptions require a defined lawful purpose.
7. Service remedies and liability
Customer should promptly report a material failure to meet the agreed service standard. Fireside will have a reasonable opportunity to correct it. If it cannot be corrected within a reasonable time, Customer may terminate the affected service and receive the applicable unused prepaid fees, without limiting nonwaivable remedies.
Except for express commitments and to the extent permitted by law, neither party makes other warranties concerning the service. Each party remains responsible for its own breach and unlawful conduct. Neither party is liable to the other for remote or indirect business losses to the extent exclusion is lawful. This exclusion does not apply to fraud, willful misconduct, breach of confidentiality or data-protection duties, or liabilities that cannot be excluded. No monetary liability cap or special third-party indemnity is created by this form; any such allocation requires express terms in the signed Order after counsel review.
8. General terms
The parties will first attempt to resolve disputes through their designated contacts, without preventing urgent relief or legally protected complaints. Governing law and venue must be stated in the signed Order; this form selects neither mandatory arbitration nor a class-action waiver. Mandatory protections remain applicable regardless of the contractual choice.
Changes require written agreement by authorized representatives. Neither party may assign this agreement without the other's written consent, not to be unreasonably withheld. Neither is liable for delay caused by circumstances beyond its reasonable control, provided it promptly gives notice, mitigates the impact and resumes performance; this does not excuse accrued payment or applicable security duties. If the interruption lasts more than 30 days, either party may terminate affected services with the settlement described above.
The parties are independent contractors. Failure to enforce a term is not a waiver. Unenforceable provisions are limited or separated while the rest remains in effect. The signed Order, this agreement and the completed DPA constitute the agreement for their subject matter. Mandatory law controls; the DPA controls personal-data conflicts; the Order controls scope and commercial particulars. Any departure from other terms must expressly identify the provision it changes. Electronic signatures and counterparts are permitted to the extent lawful.
